Cheeny Kum program and its benefits are offered at the sole discretion of Exemplar Life Care Pvt. Ltd. and its subsidiaries and affiliates which are members of the “Cheeny Kum” group. Service providers currently participating in this program may be added or deleted at the sole discretion of Cheeny Kum The rights and obligations of Cheeny Kum under the program may be assigned or transferred by any Cheeny Kum to any other related or unrelated entity at any time, and performance thereafter shall be the responsibility of that entity

2. Membership Eligibility and Fee: Membership in the Program is available to individuals (“you”) as stated in these Program Terms and Conditions. You may maintain only one account. The enrollment fee for the program is subject to plans and existing tariffs. A Member means and includes any adult India / NRI/ PIO who has applied to become a Cheeeny Kum Member and who has assigned a Cheeny Kum Membership Number.

3. Add – on Member: An add-on Member is any person belonging to the family of a Member. A family Member, normally residing at the same location, would include parents, siblings, children and spouses, but excludes married female siblings, children and grand children and their spouses. Add-on family member will be entitled to similar privileges and benefits as that of a member, unless specifically stated otherwise. He/She will also be governed by the same terms and conditions, rules and regulations, procedures and bye laws as are applicable to Cheeny Kum Members from time to time unless stated otherwise. A Member shall also mean an Add-on member and vice versa, unless stated otherwise.

4. Payment, Refunds, Upgrading and Downgrading Terms:

A valid credit card is required for paying accounts. Free accounts are not required to provide a credit card number.

2.      The Service is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. In order to treat everyone equally, no exceptions will be made.

3.      All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

4.      For any upgrade or downgrade in plan level, your credit card that you provided will automatically be charged the new rate on your next billing cycle.

Downgrading your Service may cause the loss of Content, features, or capacity of your Account. Cheeny Kum does not accept any liability for such loss.

5. Availing Benefits: Cheeny Kum Member’s and Add-on members will be required to present their individual Cheeny Kum Cards before seeking any Cheeny Kum Card benefit. Failing to do so may result in refusal of such privilege or benefit. They should retain copies of documents, which may be required to claim benefits from Cheeny Kum or Cheeny Kum Partners, until such claims are settled.

6. Program Availability: Cheeny Kum reserves the right to restrict, suspend, discontinue or cancel this Program through a written notice to all active members. In that event, your right to enjoy the benefits under your membership plan may end by up to 90 days after we notify you, no matter what the level of your participation in the program.

7. Membership Cancellation: Exemplar Life Care Pvt. Ltd. reserves the right to cancel any Cheeny Kum membership for the reasons that include but are not limited to:

1) Violation of these Terms & Conditions 2) misrepresentation of any information or misuse of this program 3) violation of any national, state or local law or regulation in connection with the use of membership privileges 4) Failure to pay any Health Service charges 5) A cheque to any participating outlet that is returned for insufficient funds or is invalid for any reason 6) commission of fraud or abuse involving any portion of this program 7) more than one active account per member or 8) action, in any other way, to the detriment of the program or any of its alliances; all as may be determined by Cheeny Kum In its sole discretion

8. Changes in Terms and Conditions: Cheeny Kum and its alliances reserve the right to change, limit, modify or cancel Program terms & conditions, Program changes, but will not be liable for failure to do so, and all members will nevertheless be bound. An active member is defined as any member having card activity within the last 12 months.

9. Data Privacy: Under the data protection legislation of various countries, we are required to particularly draw your attention to the fact that by applying for card membership or by continuing to exercise the privileges of membership and in order to make it possible for Cheeny Kum to perform its obligations, under the Program, you accept and explicitly authorize that your personal information which is supplied by you in the enrollment form or during the course of your program membership (1) shall be processed by Cheeny Kum, in its capacity of data controller, by its subsidiaries, affiliates or franchises and (ii) may be transferred worldwide to any third parties with which Cheeny Kum is affiliated within the scope of the Program or to third parties to process your personal data on our behalf or where required by applicable law or in the event of a company reorganization, merger or acquisition, for use of such information for its (their) administration of membership records.

10. Right to access data: You have a right to access your data by paying a nominal fee as per existing tariffs.

11. Card Services: Registration of a Member and/or issuance of Cheeny Kum does not in any way imply that Cheeny Kum is rendering medical, professional or any other services, save and except the ones which specifically entitles a member to enjoy privileges and/or benefits at Cheeny Kum locations or Cheeny Kum Partner establishments. You may be entitled to special services and benefits at Cheeny Kum. Benefits and services may change from time to time .

12. Employer Restrictions: Some employers by policy may prohibit or restrict employee participation in the Cheeny Kum Membership program. Cheeny Kum assumes no responsibility for compliance of these policies.

13. Communication not received: Cheeny Kum. is not liable for loss of misdirected correspondence, requests, freight, or reward certificates that may be incomplete, illegal, delayed, lost or stolen.

14. No Guarantees on Merchandise: Cheeny Kum, its parent, subsidiaries, affiliates, franchisees and agents make no guarantees, warranties or representations of any kind, expressed or implied, with respect to items of merchandise, and shall not be liable for any loss, expense (including without limitation, any legal fees), accident or inconvenience that may arise in connection with the use of such items or as a result of any defect or failure of such items. Any implied warranties of merchantability or fitness for a particular purpose are specifically disclaimed.

15. Program Interpretation: Interpretations of Program Terms & Conditions shall be at the sole discretion of Cheeny Kum. Cheeny Kum reserves the right to add, modify, delete or otherwise change these Terms and Conditions or any rules related to the Program at its sole discretion, with or without notice.

Any advice or information that you may receive through the web site is not a substitute for personal medical care. 17. Professional Indemnity: Cheeny Kum indemnifies itself from liabilities arising out of direct provision of health services performed by the Franchisee, subsidiaries, affiliates and agents. The Company in no way shall be responsible for liabilities arising out of Medical Negligence of the Franchisee, subsidiaries, affiliates and agents.

Limitations, Exclusions & Exceptions:

This program is a discount membership program offered by Cheeny Kum. Cheeny Kum is a licensed health care services. No portion of any provider's fees will be reimbursed or otherwise paid by Cheeny Kum You will receive discounts for medical services at certain health care providers. You are obligated to pay for all health care services at the time of your appointment. Savings are based upon the provider's normal fees. Actual savings will vary depending upon location and specific services or products purchased. Please verify such services with each individual provider. The discounts contained herein may not be used in conjunction with any other discount plan or program. All listed or quoted prices are current prices by participating providers and subject to change without notice. Any procedures performed by a non-participating provider are not discounted. From time to time, certain providers may offer products or services to the general public at prices lower than the discounted prices available through this program. In such event, members will be charged the lowest price. Discounts on professional services are not available where prohibited by law. This plan does not discount all procedures. Providers are subject to change without notice and services may vary in some regions. It is the member's responsibility to verify that the provider is a participant in the plan. At any time Cheeny Kum has the right to eliminate a Participating Professional from the respective network in which they are associated and may substitute Provider networks at its sole discretion. Cheeny Kum cannot guarantee the continued participation of any provider. If he or she leaves the plan, you will need to select another

provider. Providers contracted by Cheeny Kum are solely responsible for the professional advice and treatment rendered to members and Cheeny Kum disclaims any liability with respect to such matters. Services and service providers may change or be discontinued at anytime without notice.

Any communications you send to this Internet Site or otherwise to Cheeny Kum. by electronic mail are on a non-confidential basis, but Cheeny Kum will refrain from reproducing, publishing or otherwise using data in any way or for any purpose while coupled with any personal identification information such as (name, userid, email addresses or other unique identifiers) unless the users accounts sharing/privacy setting is set to Public. Cheeny Kum. shall be free to use the content of any such communications, disclosed therein, for any purpose including sales to diabetic meter manufacturers and/or marketing goods and services, provided it is not coupled with personal identification information.
